1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and AXL Labs("Company," "we," "us," or "our") concerning your access to and use of our website (https://axllabs.in), products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

2. Intellectual Property Rights

Unless otherwise indicated, the Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AXL Labs, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services strictly in accordance with these Terms. You must not:

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission
• Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Services
• Remove any copyright, trademark, or other proprietary rights notices from the Services
• Use any automated system to access the Services in a manner that sends more requests than a human can reasonably produce

3. User Representations and Warranties

• You are not under the age of 18

All purchases through our Services are subject to product availability and acceptance of your order. We may, in our sole discretion, limit or cancel quantities purchased per person or per order.

Prices are subject to change without notice. All payments shall be in Indian Rupees (INR) unless otherwise agreed. You are responsible for all applicable taxes, duties, and governmental charges.

6. Refunds and Cancellations

Refund and cancellation policies vary depending on the specific product or service. Custom development services and consulting engagements may have different terms specified in separate service agreements.

For standard products and services, refund requests must be made within 14 days of purchase. We reserve the right to assess each refund request on a case-by-case basis.

7. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:

• Circumventing, disabling, or interfering with security-related features of the Services
• Engaging in unauthorized framing of or linking to the Services
• Tricking, defrauding, or misleading us or other users
• Making improper use of our support services or submitting false reports
• Engaging in any automated use of the system or data mining
• Interfering with, disrupting, or creating an undue burden on the Services
• Attempting to impersonate another user or person
• Harassing, annoying, intimidating, or threatening any of our employees or agents

8. User Generated Content

The Services may invite you to contribute content such as feedback, comments, suggestions, or other materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content.

You represent and warrant that:

• You own or control all rights to the User Content
• The User Content does not violate any intellectual property rights or privacy rights of any third party
• The User Content does not contain any defamatory, obscene, offensive, or illegal material

9. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

We are committed to protecting your privacy and complying with applicable data protection laws, including the Information Technology Act, 2000 and the Personal Data Protection Bill.

10. Service Level Agreement

For enterprise clients and custom service agreements, specific Service Level Agreements (SLAs) may apply. These SLAs will be documented in separate contractual agreements and will supersede these general Terms for the specific services covered.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Services will be accurate or reliable
• Any errors in the Services will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AXL LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ₹10,000 (INR), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless AXL Labs, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of any rights of another party
• Your User Content

14. Third-Party Links and Services

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by AXL Labs. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that AXL Labs shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content or services.

15. Term and Termination

These Terms remain in full force and effect while you use the Services. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, effective immediately.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Thiruvananthapuram, Kerala, India.

Before filing any legal action, the parties agree to attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies.

17. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

19. Waiver

No waiver by AXL Labs of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and AXL Labs concerning the Services.
